Terms of Service
The rules for using Citadel. Written to be read, not just scrolled past.
These Terms of Service ("Terms") govern your use of the Citadel website and services provided by Citadel ("we," "us," or "our"). By accessing or using Citadel, you agree to these Terms. If you are using Citadel on behalf of an organization, you agree on that organization's behalf and confirm you have the authority to do so.
The service
Citadel provides a memory layer for AI: structured, governed storage of your knowledge and context that works with the models and tools you use. We may add, change, or remove features as the service evolves. Where a change materially reduces core functionality for paying customers, we will give reasonable notice.
Your account
- You are responsible for the accuracy of your account information and for keeping your credentials secure.
- You are responsible for activity that occurs under your account, including by team members you invite.
- You must be at least 18 years old, or the age of majority where you live, to use Citadel.
Your content stays yours
You retain all ownership of the memory, documents, and content you store in Citadel. You grant us only the limited rights needed to host, process, and display that content in order to provide the service to you. We do not sell your content, and we do not use it to train models. You can export or delete it at any time. Citadel is built to be portable by design.
Acceptable use
You agree not to:
- Use Citadel to store or process content that is unlawful or that infringes the rights of others.
- Attempt to probe, breach, or circumvent security or access controls, or access data outside your granted scopes.
- Interfere with the operation of the service, including through abusive automated load.
- Resell or provide the service to third parties except as expressly permitted by your plan.
AI outputs and your responsibility
Citadel grounds AI systems in your own records and keeps a governed trail of what they saw and did. It does not guarantee that any AI output is accurate, complete, or fit for a particular purpose. You remain responsible for reviewing outputs and for your own decisions, including any legal, regulatory, or professional obligations that apply to your work.
Fees and payment
Paid plans are billed as described at the time of purchase. Except where required by law, fees are non-refundable. We will give notice before any price change takes effect for your existing subscription.
Confidentiality and privacy
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.
Intellectual property
Citadel, including its software, design, and branding, remains our property. These Terms do not grant you any rights in the service other than the right to use it as described here.
Termination
You may stop using Citadel and close your account at any time, and you can export your content before you do. We may suspend or terminate access for material breach of these Terms, with notice where practical. On termination, we will delete or anonymize your content within a reasonable period, unless a longer retention is required by law.
Disclaimers
Citadel is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Citadel provides audit and governance infrastructure that supports your compliance program; it does not by itself make any organization compliant with any regulation.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability under these Terms is limited to the amounts you paid us for the service in the twelve months before the claim arose.
Changes to these Terms
We may update these Terms from time to time. We will post the new version here and update the date above. Material changes will be notified to account holders. Continued use after a change takes effect means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law rules, and any disputes will be resolved in the state or federal courts located in Maricopa County, Arizona.
